Pollen Street Capital to acquire Universal Banking, Finastra’s global core banking software business

Pollen Street Capital (“Pollen Street”) today announced its agreement to acquire Universal Banking (“UB”), Finastra’s global core banking software business. This acquisition is a significant step in Pollen Street’s strategy to invest in specialist financial services and technology businesses with strong market positions and growth potential.

Market demand and UB’s role in core banking modernisation

The demand for core banking modernisation continues to rise as financial institutions aim to simplify operations, enhance customer experiences, and prepare for the evolving digital banking landscape. Banks increasingly seek to modernise gradually, balancing transformation with continuity of critical operations.

UB supports this transition by offering modern technology solutions designed to enable new and existing systems to coexist and progressively modernise. The company leverages deep industry expertise and a proven track record of delivery to help customers navigate complex modernisation journeys.

Universal Banking provides mission-critical core banking technology that supports a wide range of banking operations, including account and deposit management, payments, lending, and treasury functions. 

At the core of UB’s offering is Essence, the cloud-first, open banking platform. Essence enables financial institutions to modernise legacy systems, accelerate innovation, and improve operational efficiency. Essence has established itself as a leading platform for banks seeking a modern and flexible foundation to support growth.

With Pollen Street’s backing, UB will operate as a standalone business, receiving investment to accelerate product innovation, including advancements in generative AI (GenAI) and data capabilities. 

The investment will also strengthen customer delivery and expand the capabilities customers require to succeed in a rapidly evolving market.

Transaction details and future outlook

The acquisition aligns with Pollen Street’s strategy to invest in specialist financial services and technology businesses characterised by durable customer relationships and attractive growth opportunities. Following completion, UB will operate independently under its existing management team.

The transaction remains subject to customary regulatory approvals.

Financial advisory roles were fulfilled by Arma Partners for Finastra and Vista Equity Partners, with Kirkland & Ellis serving as legal advisor. Nomura acted as financial advisor to Pollen Street, and Clifford Chance provided legal counsel.

This acquisition positions Universal Banking to accelerate innovation and expand its market presence, supported by Pollen Street’s strategic investment and focus on core banking.
